Terms of Service

These Terms of Service (the "Terms") govern access to and use of the Systemata dealer portal and driver marketplace at systemata.dev (the "Service"), operated by Systemata Consulting, Inc ("Systemata", "we", "us"). By creating an account or using the Service you agree to these Terms on behalf of yourself and, if you use the Service for an integration business, that business.

1. The Service

Systemata provides software drivers that connect professional automation platforms (such as Crestron, Vantage, Lutron, and Control4), licensed per project, together with tools for managing licenses, projects, billing, and support. The Service is intended for professional integrators and dealers — it is a business-to-business service, not a consumer product.

2. Accounts

  • You must provide accurate company and contact information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • We may suspend or terminate accounts that violate these Terms, abuse the Service, or present a security risk.

3. Driver licenses

  • Purchasing a driver grants a non-exclusive, non-transferable license to deploy that driver on the single project the license is assigned to, unless the listing states otherwise.
  • Activation keys are issued per license. You may not share, resell, sublicense, or use one license across multiple projects.
  • Drivers remain the intellectual property of Systemata Consulting, Inc. You receive a license, not ownership, and you may not reverse engineer, decompile, or redistribute driver software except where law permits.
  • Driver updates within the licensed version line are included unless a listing states otherwise.

4. Payments

Payments are processed by Stripe. Prices are shown at checkout in USD and may change for future purchases at any time. You authorize us and Stripe to charge your selected payment method for purchases you make. Refunds are handled per our Refund Policy.

5. Acceptable use

You agree not to:

  • use the Service for unlawful purposes;
  • probe, scan, or test the vulnerability of the Service, or circumvent authentication or licensing mechanisms;
  • interfere with other dealers' use of the Service or access data that is not yours;
  • misrepresent your identity, company, or certification status.

6. Support

Support is provided through the in-portal ticketing system and at support@systemata.dev. We aim to respond promptly during normal business hours but do not guarantee response or resolution times unless separately agreed in writing.

7. Warranty disclaimer

THE SERVICE AND ALL DRIVERS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that drivers will be error-free or compatible with every firmware or platform version. You are responsible for validating a driver in your project before commissioning.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYSTEMATA CONSULTING, INC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE LICENSE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

9. Indemnification

You will indemnify and hold Systemata Consulting, Inc harmless from claims arising out of your use of the Service in violation of these Terms or of applicable law, including claims by your end customers relating to projects you deploy.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms. Sections 3, 7, 8, 9, and 11 survive termination. Licenses already purchased and activated remain valid for their assigned projects.

11. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Florida, and each party consents to their jurisdiction.

12. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date; continued use of the Service after a change takes effect constitutes acceptance.
